VASTOVERS TERMS OF SALE
Effective Date: 1st January 2026
These SaleTerms and Conditions (“Terms”) govern purchases made from Vastovers, whether through any Vastovers website, application, online platform, affiliate platform, physical outlet, sales representative, partner outlet, or any other approved online or onsite sales channel.
By placing an order, making payment, accepting delivery, or otherwise completing a purchase through any Vastovers sales channel, the Customer acknowledges and agrees to these Terms, subject always to applicable law.
1. DEFINITION OF VASTOVERS
For the purpose of these Terms, “Vastovers” means, as applicable to the particular transaction, Vastovers Drugs And Allied Products, Vastovers BlackElephant , Vastovers Fromatoz, Vastovers Stemordz, Fromatoz, any other subsidiary, affiliate, business unit or trading entity within the Vastovers Group or Vastovers Holdings, and any company or business expressly authorised to sell or fulfil products in partnership with Vastovers.
The particular entity responsible for a transaction may be identified on the relevant invoice, receipt, order confirmation or other transaction record.
“Customer” means any individual, business, organisation, member, partner or other person purchasing goods from Vastovers.
“Partner” means a person or business registered or recognised under an applicable Vastovers partner programme.
2. APPLICATION OF THESE TERMS
These Terms apply to purchases made:
- through Vastovers websites and online platforms;
- through approved mobile or digital platforms;
- directly from Vastovers offices, warehouses or physical outlets;
- through approved Vastovers affiliates, partners or fulfilment locations; and
- through any other authorised sales channel operated or approved by Vastovers.
Where additional product-specific, promotional or platform-specific terms apply, such terms shall be read together with these Terms.
Nothing in these Terms is intended to exclude, restrict or waive any consumer right that cannot lawfully be excluded or restricted.
3. PRODUCT INFORMATION
Vastovers will take reasonable steps to ensure that product descriptions, specifications, images, prices and other information displayed on its platforms are accurate and current.
Product images may be illustrative, and packaging, labelling, colour, design or other non-material features may occasionally differ from images displayed, particularly where manufacturers update packaging.
Customers are responsible for reviewing relevant product descriptions, specifications, quantities, sizes and other information before completing an order.
For medicines, health products and other regulated products, Customers should read applicable labels, warnings, directions for use and other regulatory information and seek appropriate professional advice where required.
4. PRICES AND PRICE CHANGES
Product prices may change from time to time due to market conditions, supplier pricing, exchange rates, taxes, logistics costs or other commercial factors.
Vastovers will endeavour to maintain accurate prices on its platforms. However, there may occasionally be delays, technical errors or other circumstances resulting in an outdated or incorrect displayed price.
Where an order is placed or payment is made based on an erroneous or outdated price and Vastovers cannot reasonably fulfil the order at that price, Vastovers shall notify the Customer and may:
- offer the Customer the opportunity to pay any applicable difference, where appropriate and accepted by the Customer; or
- cancel the affected order and refund the amount actually paid for the unavailable or incorrectly priced goods.
Vastovers shall not impose an additional payment on a Customer without the Customer's agreement.
5. PARTNER DISCOUNTS
Registered or eligible Vastovers Partners may receive discounts on qualifying purchases.
Discount percentages, eligible products, purchase thresholds and other conditions may vary from time to time and may differ between partner categories, products, promotions or sales channels.
Unless otherwise expressly agreed, partner discounts are discretionary commercial benefits and may be introduced, varied, suspended or discontinued by Vastovers from time to time.
Any change shall apply prospectively and shall not alter a completed transaction.
6. ORDER VERIFICATION AND PAYMENT
Customers are responsible for reviewing their orders before payment, including:
- product name and description;
- quantity;
- price;
- delivery or collection details;
- recipient information; and
- any additional charges disclosed before checkout.
An order shall be subject to payment confirmation, stock availability, verification and acceptance by Vastovers.
A payment acknowledgement does not necessarily constitute confirmation that an order has been accepted for fulfilment where stock, pricing, payment verification, regulatory requirements or other material matters remain outstanding.
7. TRANSACTION OTP AND SECURITY
Where a Customer or Vastovers Partner is directed to an affiliate, partner outlet or other approved location to collect goods or complete a transaction, Vastovers may issue a secure One-Time Password (OTP), transaction code or personalised token associated with that specific transaction.
The recipient must:
- keep the OTP or transaction token confidential;
- use it only for the transaction for which it was issued; and
- not disclose it to an unauthorised third party.
Where an OTP or token is presented and successfully authenticated, Vastovers or its authorised affiliate may reasonably rely upon it as evidence of authorisation, subject to applicable law.
The Customer should immediately notify Vastovers if an OTP or transaction token is lost, compromised or disclosed before it is used.
Vastovers shall not ordinarily be responsible for loss resulting solely from a Customer's voluntary or negligent disclosure of a valid OTP to an unauthorised third party, except where the loss results from Vastovers' fraud, negligence, security failure or other liability that cannot lawfully be excluded.
8. ORDER CANCELLATION AND REFUNDS BEFORE SUPPLY
Customers are encouraged to verify their orders carefully before making payment.
A Customer is not automatically entitled to cancel a correctly processed and accepted order merely because the Customer subsequently changes their mind, except where cancellation or refund is required by applicable law or expressly permitted by Vastovers.
Nothing in this clause limits a Customer's statutory rights concerning defective, unsafe, incorrectly supplied or materially misdescribed goods or any other right provided by applicable law.
9. GOODS VASTOVERS IS UNABLE TO SUPPLY
Where a Customer has paid for goods but Vastovers is unable to supply them because of:
- unavailability of stock;
- an uncorrected or erroneous displayed price;
- an insufficient payment that the Customer elects not to supplement;
- inability to obtain the goods from a supplier;
- regulatory or logistical restrictions; or
- any other circumstance preventing fulfilment,
Vastovers may cancel the affected order and refund the actual amount received by Vastovers for the affected goods.
Unless otherwise required by law, the refund will not include consequential expenses, speculative losses, anticipated profits or other indirect costs incurred by the Customer.
Any separately collected delivery or service charge relating solely to goods that Vastovers does not supply shall be treated in accordance with applicable law and the circumstances of the transaction.
10. GENERAL RETURN POLICY
Subject to applicable consumer protection law, goods correctly supplied in accordance with the Customer's order are generally not returnable merely because the Customer has changed their mind.
Returns may be accepted where:
- Vastovers supplied the wrong product, quantity, specification or item;
- the product was received damaged or defective and the Customer provides reasonable evidence that the damage or defect existed at or before delivery;
- the goods materially differ from the description or order; or
- return, repair, replacement or refund is otherwise required under applicable law.
All approved returns must follow the return instructions provided by Vastovers.
11. CONDITION OF RETURNED GOODS
Except where goods are being returned because they were supplied damaged or defective, returned goods must, as reasonably applicable:
- be unused and undamaged;
- remain in their original condition;
- retain their original packaging, seals, accessories and documentation;
- not have been altered, tampered with or improperly stored; and
- be accompanied by the relevant receipt, invoice, order number or other reasonable proof of purchase.
A Customer should not use, consume, alter or damage goods after discovering that the wrong goods were supplied.
12. MEDICINES, HEALTH PRODUCTS AND OTHER SENSITIVE GOODS
For health, hygiene, safety and regulatory reasons, medicines, supplements, personal-care products, consumables and other products whose integrity depends upon storage, sealing or controlled handling may be subject to additional return restrictions once opened, used or improperly stored.
However, these restrictions do not remove any statutory rights relating to unsafe, defective, incorrectly supplied or otherwise non-conforming goods.
13. DAMAGED OR DEFECTIVE GOODS
Customers should inspect goods as soon as reasonably possible after delivery.
Where goods are received damaged, the Customer should promptly notify Vastovers and provide reasonable supporting evidence, which may include:
- photographs or videos of the goods;
- photographs of the packaging;
- delivery documentation;
- order or invoice details; and
- any other information reasonably required to investigate the claim.
Goods that become damaged after delivery because of misuse, mishandling, improper storage, unauthorised alteration or other circumstances attributable to the Customer will not ordinarily qualify as goods received damaged.
Nothing in this clause limits statutory warranties or remedies applicable to defective or unsafe goods.
14. REFUND FOR APPROVED RETURNS
Where Vastovers confirms that a return qualifies for a refund, the refund shall ordinarily be processed within 21 working days after Vastovers receives the returned goods, completes any reasonably necessary inspection and obtains the information required to process the refund.
Refunds will ordinarily be made through the original payment method where practicable or another agreed method.
This administrative processing period shall not be interpreted to reduce any shorter period or remedy required by applicable law.
15. UNAUTHORISED OR NON-QUALIFYING RETURNS
Customers should obtain return instructions or approval before shipping goods back to Vastovers.
Where a Customer returns goods that do not qualify for return under these Terms or applicable law, Vastovers may decline the return and notify the Customer that the goods are available for collection or return shipment.
Where return shipment to the Customer is required, the Customer shall bear the reasonable shipping and handling costs.
Vastovers shall notify the Customer of the applicable amount, and the Customer shall have 14 days from the notice to make the necessary payment or arrange collection.
If payment or collection is not arranged within that period, Vastovers may hold the goods for a further 14 days.
After the combined 28-day period, and following reasonable notice to the Customer, uncollected goods may be treated as abandoned and dealt with as permitted by applicable law. Nothing in this clause transfers responsibility to Vastovers for deterioration resulting from the Customer's unreasonable failure to collect goods, except to the extent caused by Vastovers' negligence or misconduct.
16. DELIVERY AND COLLECTION
Estimated delivery dates or times are provided in good faith and may be affected by logistics providers, weather, regulatory requirements, customs processes, location, product availability or other circumstances.
Customers must provide accurate delivery information and reasonable access for delivery.
Additional costs resulting from incorrect delivery details supplied by the Customer, repeated failed delivery attempts or a Customer's failure to collect goods may be charged to the Customer where reasonable and disclosed.
Risk relating to delivery shall be determined in accordance with applicable law and the agreed delivery arrangements.
17. INTERNATIONAL PURCHASES AND SHIPMENTS
For purchases requiring delivery outside Nigeria, unless Vastovers expressly agrees otherwise in writing, the Customer shall be responsible for charges beyond the stated purchase price of the goods, including where applicable:
- international freight and shipping;
- customs duties;
- import taxes and levies;
- clearing and handling charges;
- insurance;
- storage or demurrage charges;
- regulatory permits and approvals; and
- other charges associated with importing, clearing and delivering the goods.
Any shipping estimate provided by Vastovers is subject to the terms applicable to the particular order.
18. IMPORT RESTRICTIONS AND CUSTOMER RESPONSIBILITY
Before purchasing goods for international delivery, the Customer is responsible for determining whether the goods may lawfully be imported, possessed or used in the destination country.
Customers should determine whether the goods:
- are prohibited or restricted;
- require an import permit;
- require registration or regulatory approval;
- require a prescription or professional authorisation;
- are subject to customs restrictions; or
- require any special documentation before importation.
Where goods are lawfully supplied by Vastovers but are subsequently seized, detained, rejected, destroyed or subjected to penalties solely because the Customer failed to comply with the destination country's import requirements, Vastovers shall not ordinarily be responsible for the resulting loss.
This limitation shall not apply where the loss arises from Vastovers' misrepresentation, negligence, unlawful conduct or other liability that cannot lawfully be excluded.
19. CUSTOMS AND DELIVERY DELAYS
Vastovers does not control foreign customs authorities, border agencies or independent international logistics providers.
International delivery times are therefore estimates unless expressly guaranteed in writing.
Vastovers shall provide reasonable assistance with available transaction documents where required but does not guarantee customs clearance or admission of goods into another jurisdiction.
20. CUSTOMER'S RESPONSIBILITY FOR INFORMATION
The Customer is responsible for providing accurate:
- name and contact information;
- delivery address;
- product and quantity selections;
- payment information;
- recipient details; and
- customs or import information where applicable.
Vastovers shall not be responsible for additional costs arising solely from materially incorrect information supplied by the Customer, except where Vastovers knew or reasonably should have known that the information was incorrect and failed to seek clarification.
21. FRAUD AND TRANSACTION VERIFICATION
Vastovers may reasonably delay, suspend or cancel an order where necessary to investigate suspected fraud, unauthorised payment, identity misuse, payment reversal, suspicious transaction activity or other security concerns.
Where an order is cancelled after valid payment has been received and Vastovers has no lawful basis to retain the money, the amount due to the Customer shall be refunded.
22. PROMOTIONS, DISCOUNTS AND COUPONS
Promotional offers, coupons, partner discounts and special pricing may be subject to separate eligibility criteria, validity periods, product restrictions, purchase limits and other disclosed conditions.
Unless otherwise stated, promotional benefits:
- cannot be exchanged for cash;
- cannot ordinarily be combined with other promotions; and
- apply only during the stated promotional period.
23. LIMITATION OF LIABILITY
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded, including liability arising from fraud, fraudulent misrepresentation, negligence where exclusion is prohibited, unsafe or defective products where statutory liability applies, or other mandatory consumer protections.
To the extent permitted by law, Vastovers shall not be responsible for indirect or consequential losses that were not reasonably foreseeable from the transaction or that arise from circumstances outside Vastovers' reasonable control.
24. FORCE MAJEURE AND EVENTS BEYOND REASONABLE CONTROL
Vastovers shall not be responsible for delay or failure to perform an obligation where performance is prevented or materially affected by circumstances reasonably beyond its control, including natural disasters, civil disturbances, government restrictions, strikes, epidemics, transportation disruption, customs actions, telecommunications failures or similar events.
Where such an event materially prevents fulfilment of an order, Vastovers shall take reasonable steps to notify the Customer and provide an appropriate remedy in accordance with applicable law.
25. CUSTOMER COMPLAINTS
Customers who have concerns about a transaction should first contact Vastovers with:
- the order or invoice number;
- the Customer's contact details;
- a description of the issue; and
- relevant supporting documentation.
Vastovers will review complaints in good faith and seek a fair and timely resolution.
Nothing in these Terms prevents a Customer from exercising any right to seek redress from a competent regulator, court or other lawful dispute-resolution body.
26. PRIVACY AND TRANSACTION INFORMATION
Customer information obtained during purchases, delivery, payment verification, returns and complaints shall be handled in accordance with Vastovers' applicable Privacy Policy and applicable data-protection laws.
Transaction information may be shared with payment processors, logistics providers, authorised affiliates and other service providers only where reasonably necessary to process, fulfil or administer the transaction or where otherwise permitted or required by law.
27. CHANGES TO THESE TERMS
Vastovers may amend these Terms from time to time to reflect changes in its operations, products, commercial arrangements, technology or applicable laws.
The version applicable to a transaction shall ordinarily be the version in effect when the Customer completes the purchase, unless a change is required by law.
Material changes shall not retrospectively deprive Customers of rights already acquired under completed transactions.
28. GOVERNING LAW
These Terms and purchases governed by them shall be interpreted in accordance with the laws of the Federal Republic of Nigeria, subject to any mandatory consumer protections or other laws applicable to a particular transaction.
29. SEVERABILITY
If any provision of these Terms is found by a competent authority to be invalid, unlawful or unenforceable, that provision shall be interpreted or limited to the minimum extent necessary to comply with applicable law, while the remaining provisions shall continue in effect.
30. ACCEPTANCE OF TERMS
By placing an order, completing payment, accepting delivery or otherwise purchasing goods through a Vastovers sales channel, the Customer confirms that they have had reasonable access to these Terms and agrees to be bound by them, subject to applicable law.
